Cerfis Group, Inc. was founded by R. Jay Phillips following a successful career in banking.
Phillips is a graduate of East Texas State University, now Texas A&M University-Commerce. After graduation and a brief period of teaching in the Greenville, Texas Independent School District, he joined the officer staff of the Citizens National Bank of Breckenridge, Texas. Having served that bank as vice president, cashier, controller and a member of the bank's board of directors, he then served as senior vice president and director of the First National Bank of Commerce, Texas. He was then chairman, president and CEO of InterFirst Bank Brownwood and later First Republic Bank, Mineral Wells, Texas. Until the company's sale in March, 1997, he was president, CEO, and a director of Corpus Christi Bancshares and its wholly-owned subsidiary, Citizens State Bank of Corpus Christi, Texas. Corpus Christi Bancshares, Inc. was listed on the American Stock Exchange.
Phillips now heads Cerfis Group, Inc., a Dallas-based business consulting firm specializing in corporate strategic and business planning focused on enhancing shareholder value. In addition to his consulting activities, he is a frequent speaker for industry groups. He founded, chaired the Advisory Council and served on the faculty of the Bank Operations Institute held at Southern Methodist University for the past twenty-seven years.
He completed the Texas Tech Intermediate School of Banking in Lubbock, Texas. He is a graduate of the Southwestern Graduate School of Banking at Southern Methodist University and the National Commercial Lending School in Norman, Oklahoma.
Keith W. Seibold had a thirty-year professional career with the FDIC. He served in both the Division of Supervision and Division of Resolutions and Receiverships. During Mr. Seibold’s ten-year career in resolutions, his positions ranged from Managing Liquidator of a consolidated site in Irvine, California, to Regional Director of the San Francisco, California and Atlanta Regions. During the savings and loan conservatorship program in 1989, he supervised seven Savings and Loan Institutions in the Phoenix, Arizona area, with assets totaling 18 Billion. His fifteen-year career in supervision ranged from Commissioned Examiner to Regional Director of the Dallas Region. As Dallas Regional Director, he supervised 675 State Nonmember banks with assets totaling 85 billion dollars. He is familiar with all aspects of bank supervision, including examinations for both safety and soundness and information technology. Mr. Seibold also oversaw the processing of bank applications, enforcement actions, and problem bank resolutions.
Mr. Seibold holds a BS Degree from the University of Nebraska, and graduated from the Southwestern Graduate School of Banking at SMU in Dallas, Texas.
G. Michael Newton enjoyed a 28-year career with the Federal Deposit Insurance Corporation (FDIC), having most recently served for fifteen years as the Regional Director for the Division of Resolutions in the Dallas, Texas Regional Office. During the turbulent Banking Crisis from March, 1983 to October, 1998, Mr. Newton oversaw the resolution of 900 bank failures totaling $100 Billion including seven of the ten largest failures in the FDIC’s history.
Mr. Newton developed many of the methods utilized by the FDIC to dispose of assets acquired as a result of bank failures and methods to rapidly and efficiently pay insure depositors after a bank closure.
Since his FDIC retirement in 1998, he has been an international financial advisor to governments and financial institutions alike specializing in the financial economic importance, development and management of deposit insurance systems (including bank resolutions, bank conservatorships, asset sales and management) and depositor pay off methods.
Working with his cerfis colleagues, Mr. Newton assists financial institutions in handling problem assets including asset sales and foreign governments in developing their financial institutional infrastructures.
Mr. Newton holds a BS-Business Administration from East Central University and graduated from the Southwestern Graduate School of Banking at SMU in Dallas.
Bob McComas is President and CEO of Bank Brokers LLC, and its subsidiaries Bankers HR Advisory and the Network of Retired Bank Executives and Regulators (NORBER).
Bob has over 30 years of experience in senior level management positions with several national organizations in the area of human capital management. He has participated in mergers and acquisitions of various companies throughout his career and possesses in-depth knowledge of organizational dynamics and change management. He is a nationally recognized consultant in the banking industry. He has developed and managed human capital programs covering over 5,000 employees and 50,000 independent contractors. In addition, Bob has conducted training programs in employment regulatory compliance all levels of staff including CEO’s, attorneys and financial professionals.
Mr. McComas holds a B.S. Organizational Behavior degree from the University of Texas and is a licensed group health plan broker.
Donald E. Latin, CFA is president of D. Latin and Company, Inc., a Dallas-based firm providing finance services including fairness opinions, strategic advice to corporations for financing and mergers and acquisitions, and valuations for privately owned corporations and partnerships.
Mr. Latin brings a depth of experience having previously served as executive vice president and CFO for Dallas Federal Savings, senior vice president and manager of the Corporate Finance Department of Rauscher Pierce Refsnes in Dallas.
Mr. Latin holds a BS-BA and MBA from Northwestern University.
Richard H. Latin, vice president of D. Latin and Company, Inc., enjoys vast experience in financial analysis, most recently serving as senior financial analyst with Transamerica Real Estate Tax Service, Dallas. Prior positions included Don Pablo’s, Trinity Industries, Inc., and LPG Containers Division.
Richard holds a BS from Trinity University, San Antonio, and an MBA from Southern Methodist University, Dallas
